LAW 878: Problems in Corporate Law

This course will consider a variety of issues in corporate law, especially those that relate to boards of directors. Examples of potential issues are the requirement of a demand by a stockholder before instituting derivative litigation; transactional litigation; the business judgment rule; the director's fiduciary duties of care, loyalty, and disclosure; and indemnification and statutory exculpation issues. These issues will be explored in a highly interactive environment that may include simulated litigation using actual pleadings, briefs and oral arguments in the Delaware Court of Chancery and the Delaware Supreme Court. The course will concentrate on the manner in which the Delaware courts have addressed these issues, with occasional comparisons to other jurisdictions, the ALI, and the Model Business Corporation Act.
