LAW 952: Comparative Corporate Governance Seminar

Comparative corporate governance has become a hot topic in academic debate. A major issue in this contemporary debate is whether national governance systems can be expected to converge into a new internal governance system, comprising best practices from diverse systems. While many commentators support this position, others take the view that major underlying legal and cultural differences between jurisdictions will ultimately prevent such convergence. This course examines recent trends in comparative corporate governance and discusses fundamental differences in structure, and the interplay of governance techniques, in a variety of different jurisdictions, such as the US, UK, Germany, Japan and Australia. Different approaches to fundamental issues in corporate governance will be explored, including: board structure; director’s duties; disclosure; fairness between shareholders; the role of institutional investors; the role of employees; executive remuneration and takeovers.
