LAW 793: Professional and Ethical Considerations in Corporate Practice
This course addresses professional and ethical considerations in representing corporations, other businesses, and nonprofit enterprises, with particular emphasis on issues that arise in securities practice. Topics include legal aspects of corporate governance, conflicts among constituencies, conflicts of multiple representation, resignation issues, and responsibilities under the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.
