This course will familiarize students with legal principles and practical strategies critical to practicing in the rapidly expanding fields of corporate compliance and internal investigations. Students will first become familiar with the core elements of an effective compliance program as outlined in key federal and international guidance. We will then explore some of these elements in depth, such as appropriate reporting, oversight, and governance mechanisms and factors to consider in structuring a centralized compliance function. Finally, we will consider how corporate compliance efforts and internal investigations impact the resolution of government enforcement actions against a company. Throughout the course, students will typically examine these topics through the lens of anti-corruption compliance, which serves as an important and representative example, but will also consider how particular concepts play out in other substantive areas, such as healthcare or government contracting.
