Private Equity: Transactional Drafting and Practice

The course is designed to introduce students to the critical issues arising in transactions engaged in by private equity funds, and to provide drafting experience relevant to any transactional attorney. The principal focus of the course will be understanding the legal and commercial aspects of private equity as an asset class and introducing students to the legal documents used in the process of investing capital. An emphasis will be placed on contract drafting, providing students opportunities to practice drafting and using precedents. Prerequisites: Corporations or Corporations & Business Entities and Securities Regulation. Pass/Fail. Enrollment limited.
