The Swinging Pendulum in Corporate Law Short Course

This course will explore the so-called “swinging pendulum” in corporate law, a phenomenon whereby some perceive the law to shift from favoring management interests, to stockholder interests and back again to stockholder interests. We will track these perceived shifts in the law and consider whether they exist and, if so, whether they were/are influenced by market or other external factors. Prerequisite: Corporations or Corporations & Business Entities. Pass/Fail.
