Two Vanderbilt Law Professors Appointed ECGI Research Members

Professors Brian Broughman and Amanda Rose were appointed 2025 Research Members of the European Corporate Governance Institute (ECGI), in recognition of their exceptional contributions to the field of corporate governance. Along with 72 distinguished scholars drawn from Europe, the UK, North America, and Asia, they join an established network of academics shaping the future of corporate governance worldwide.

“ECGI is a unique network of researchers from around the world combining the best scholars from finance and law. These new appointments will bring additional insight and energy to an already thriving community,” said Jens Dammann, Professor of Law at the University of Texas and chair of the selection committee. “Their work will provide value for everyone following the latest corporate governance developments and we warmly welcome them to ECGI.”

ECGI Research Members are eligible to publish their academic work on corporate governance and stewardship in the ECGI Working Paper Series (Law and Finance), a highly regarded collection of work known for its reliability, breadth, and impact on policymaking and practice.

Brian Broughman is a Professor of Law at Vanderbilt Law School. His research focuses on corporate governance and financial contracting, particularly in startup firms financed by venture capital. His research also includes empirical studies related to mergers and acquisitions, shareholder voting, founder control rights, and the dominance of Delaware corporate law nationwide. Professor Broughman’s work has been published in law reviews and peer-reviewed journals, including the Journal of Financial EconomicsJournal of Law and EconomicsJournal of Legal Studies, and Journal of Corporate Finance.

Amanda Rose holds the Cornelius Vanderbilt Chair in Law at Vanderbilt Law School. She is an expert on corporate and securities law and the institutional design of enforcement regimes. Her articles have been published in the Columbia Law ReviewUniversity of Chicago Law ReviewUniversity of Pennsylvania Law ReviewNorthwestern University Law Review and Minnesota Law Review, among other top journals, and her essays appear in The Oxford Handbook of Corporate Law and Governance (2018) and The Research Handbook on Shareholder Litigation (Elgar, 2017).
